In another instance, the judge emphasized the role of Tesla’s general counsel Todd Maron — who was previously Musk’s divorce lawyer — in advising Tesla’s board and compensation committee. Maron was “totally beholden to Musk,” McCormick wrote in her ruling last week, adding that Maron’s admiration for Musk “moved him to tears” during both his deposition and in trial testimony. Maron’s team prepared “an aggressive timeline for approving a compensation plan,” McCormick wrote in her more than 200-page ruling. New York CNN —A Delaware state court judge has thrown out the 2018 pay package that helped to make Tesla CEO Elon Musk one of the richest people in the world. He said Tesla investors will benefit from the decision by having the “dilution from this gargantuan pay package erased.”Attorneys for Musk and the Tesla board argued the pay package was approved by a shareholder vote. Excluding the votes owned by Musk and his brother, 73% of the shares voting in that election supported the pay package. The company’s market cap was valued at $54 billion at the time the pay package was approved. Robyn Denholm, the chair of Tesla’s board, testified that the pay package was all about keeping Musk focused on Tesla.

New York CNN —Democratic Senator Elizabeth Warren asked the SEC to investigate Tesla and its board of directors to determine whether they violated securities laws after CEO Elon Musk took over Twitter last year. Warren wrote that that disorder has spilled over into Musk’s management of one of the most influential electric car companies in the United States. “Tesla is publicly owned, and Mr. Musk and the Board have responsibilities to shareholders and the public in their management of the company,” Warren wrote. “These close relationships may explain the board’s persistent inability or unwillingness to address the concerns posed by Mr. Musk’s actions,” Warren wrote. Last December, the Democratic senator wrote Tesla shareholders may be hurt by its CEO’s ownership of Twitter in a letter to company chair Robyn Denholm.

A Tesla project that led to an internal review could be a home for its CEO Elon Musk, WSJ reported. Tesla board members were involved in investigating the order, WSJ reported. An opaque project within Tesla dubbed "Project 42" might be getting some transparency — the endeavor is said to involve a glass house for Elon Musk, The Wall Street Journal reported. It's not clear if the building project is still in the works, or whether the glass order was ever delivered, the Journal reported. It's also not clear what role, if any, Afshar still holds at Tesla (though an email that Insider sent to his Tesla email account did not bounce back).

It’s a vulnerable time for such pronouncements when the market Tesla (TSLA.O) effectively created threatens to overtake it. A more deferential approach to Musk might have made sense during Tesla’s meteoric rise, when its mere existence bucked convention. The Department of Justice has initiated a probe into Tesla’s self-proclaimed “self-driving” capabilities, which have been involved in fatal crashes. Heeding advice from ISS and Glass Lewis would at least be a place to start, because leaving governance on autopilot also can have dangerous consequences.

The investors are particularly concerned with Musk and Tesla's handling of human rights and workers' rights. Their letter recounts many lawsuits in which Tesla has been sued over: racial discrimination, union-busting, wage theft, sexual harassment and unsafe working conditions. "Instead of working to address problems with regulators, CEO Musk has made derogatory tweets and comments, fueling tensions," they wrote. The open letter to Tesla's board comes after Tesla shares have declined more than 15% over the past month. Musk-led Twitter also removed "government-funded" and "China state-affiliated" labels from Twitter accounts of a myriad of global media organizations.

FREQUENCY OF NON-BINDING VOTE ON EXECUTIVE COMPENSATIONTesla said shareholders will vote on how frequently they would prefer a non-binding, advisory vote on compensation for executive officers. Investors will choose between one, two and three-year intervals for the non-binding vote on executive compensation, the board said, adding that it recommends a three-year interval. The EV maker has urged shareholders to vote against the proposal, saying it "would cause unnecessary competitive harm".

March 27 (Reuters) - Australian technology firm SafetyCulture on Monday said it has appointed Robyn Denholm, chair of electric vehicle maker Tesla Inc (TSLA.O), as a director to its board. Denholm, who has been an advisor to the Australian firm since late 2021, is replacing Rick Baker, co-founder of Blackbird Ventures, the company said in a statement. The collapse of U.S.-based technology-focused lender Silicon Valley Bank and the ensuing volatility in global financial markets in recent weeks has stoked concerns of higher funding costs for start-up businesses. Denholm's new role is in addition to her roles as Tesla Chair and Chair of The Technology Council of Australia, the company said. Denholm has been in various senior roles in the global technology industry, including former chief financial officer at Australian firm Telstra and is an operating partner at Blackbird Ventures.
